Terms of Service

1.1 Age Requirement. You must be at least eighteen (18) years of age to create an account and use the Service. By registering for an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

1.2 Account Creation. To access certain features of the Service, you must register for an account by providing accurate, current, and complete information including your name and email address. You may register using email and password or via a magic link authentication method.

1.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

1.4 One Account Per Person. Each individual may maintain only one account. Creating multiple accounts to circumvent credit limits, abuse free credit offers, or for any other reason is strictly prohibited and may result in the termination of all associated accounts.

2.1 Service Overview. AutoCrop.ai is an AI-powered product photo editing platform designed for e-commerce sellers. The Service provides tools including smart auto-cropping, background removal, AI image expansion (outpainting), AI upscaling, batch processing, and platform-specific preset optimization.

2.2 AI Processing. The Service utilizes artificial intelligence technology, including Google Gemini AI, to process and transform images. AI-generated results may vary depending on the input image, selected settings, and the inherent nature of AI processing. We do not guarantee specific outcomes, and results should be reviewed by the user before use.

2.3 Image Processing. Images uploaded to the Service are processed primarily in your browser (client-side) and, when AI features are used, through third-party AI APIs. We do not store your images on our servers long-term. Images sent to AI APIs for processing are subject to the respective third-party provider's terms and data handling policies.

2.4 Service Availability. We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

3.1 Credit-Based Model. The Service operates on a credit-based system. Certain features and operations require credits to use. Credit costs vary by operation: Smart Crop costs 100 credits, Background Removal costs 350 credits, AI Expand/Fill costs 400 credits, and Batch Processing costs 250 credits per image. We reserve the right to modify credit costs with reasonable advance notice.

3.2 Free Credits. New users receive 1,000 free credits upon account creation. Free credits are subject to the same terms as purchased credits and are provided on a one-time, non-renewable basis per user.

3.3 Purchasing Credits. Credits may be purchased through the Service via credit packages or subscription plans. All purchases are processed through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service in addition to these Terms.

3.4 Credit Packages. We offer the following credit packages (pricing subject to change with notice): 5,000 credits for $7, 15,000 credits for $19, and 50,000 credits for $49. Purchased credits do not expire and remain available until used or until your account is terminated.

3.5 Subscription Plans. Subscription plans provide a monthly allocation of credits along with additional features. Subscriptions renew automatically on a monthly basis unless cancelled before the renewal date. Unused subscription credits may or may not roll over depending on your plan tier.

3.6 Refund Policy. Due to the digital nature of the Service, all credit purchases are generally non-refundable once credits have been used. For unused credit packages, you may request a refund within fourteen (14) days of purchase. Subscription refunds are prorated based on unused time in the current billing cycle if cancelled within the first 7 days of a billing period. To request a refund, contact us at support@autocrop.ai. Refund requests are evaluated on a case-by-case basis.

3.7 Failed Processing. If an AI processing operation fails due to a system error (not due to an unsuitable input image), the credits for that operation will be automatically refunded to your account balance.

3.8 Pricing Changes. We reserve the right to change pricing for credit packages and subscription plans at any time. Existing subscription pricing will be honored for the current billing cycle, and you will be notified at least thirty (30) days before any price increase takes effect on your subscription.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

• Upload, process, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Upload or process sexually explicit, pornographic, or NSFW (Not Safe For Work) content.
• Upload or process images that infringe upon the intellectual property rights, privacy rights, or any other rights of third parties.
• Upload or process images containing content that exploits, harms, or threatens to harm minors in any way.
• Upload or process images that promote violence, discrimination, terrorism, or hate speech.
• Use the Service to create deepfakes, misleading manipulations, or fraudulent representations of real persons or products.
• Attempt to reverse engineer, decompile, disassemble, or otherwise discover the source code, algorithms, or underlying technology of the Service.
• Use automated systems, bots, or scripts to access or interact with the Service beyond its intended use, including scraping or automated bulk processing outside of the provided batch features.
• Resell, sublicense, or provide access to the Service to third parties without our express written permission.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Attempt to gain unauthorized access to any systems, networks, or data associated with the Service.
• Use the Service in connection with any fraudulent, deceptive, or misleading e-commerce practices.

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including without limitation removing offending content, suspending or terminating the violator's account, and reporting to law enforcement authorities.

5.1 Your Content. You retain all ownership rights to the original images you upload to the Service ("Your Content"). By uploading images, you grant us a limited, non-exclusive, royalty-free license to process, transform, and temporarily handle your images solely for the purpose of providing the Service to you.

5.2 AI-Processed Output. Images that have been processed by our AI tools ("Output") are derived from Your Content. You retain rights to use, modify, distribute, and commercialize the Output for your lawful purposes. However, please note that purely AI-generated elements (such as AI-expanded backgrounds) may not be eligible for copyright protection under current applicable law. We make no claims of ownership over your Output.

5.3 Our Intellectual Property. The Service, including its design, features, code, algorithms, trademarks, logos, and all related intellectual property, is and remains the exclusive property of AutoCrop.ai. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.

5.4 Feedback. If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use, incorporate, and otherwise exploit such Feedback for any purpose.

5.5 DMCA and Copyright Complaints. We respect the intellectual property rights of others. If you believe that any content available through the Service infringes your copyright, please contact us at support@autocrop.ai with: (a) a description of the copyrighted work, (b) identification of the allegedly infringing material, (c) your contact information, (d) a statement of good-faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

6.1 No Guarantees. The AI-powered features of the Service, including auto-cropping, background removal, AI expansion, and upscaling, are provided on an "as-is" basis. AI technology is inherently probabilistic, and results may vary depending on the complexity, quality, and content of the input image. We do not guarantee that AI-processed outputs will meet your specific requirements or expectations.

6.2 User Responsibility. You are solely responsible for reviewing all AI-generated output before using it in any commercial or public context. AutoCrop.ai is not responsible for any consequences arising from your use of AI-processed images, including but not limited to claims of inaccuracy, misrepresentation, or intellectual property infringement.

6.3 Third-Party AI Services. The Service utilizes Google Gemini AI for certain image processing operations. Your use of these AI-powered features is additionally subject to Google's terms of service and acceptable use policies. We are not responsible for changes in the availability, quality, or policies of third-party AI services.

6.4 AI Transparency. In compliance with applicable AI transparency laws, we disclose that images processed through our AI Expand, AI Upscale, and Background Removal features contain AI-generated or AI-modified content. Users are responsible for complying with any applicable disclosure requirements on platforms where they use AI-processed images.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

8.1 Automatic Renewal. Subscription plans renew automatically at the end of each billing period. You will be charged the then-current subscription fee unless you cancel before the renewal date.

8.2 Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@autocrop.ai. Cancellation takes effect at the end of the current billing period, and you will retain access to subscription features until that date.

8.3 Downgrade. If you downgrade your subscription plan, the change takes effect at the beginning of the next billing cycle. You will not receive a partial refund for the current period.

8.4 Payment Failures. If a payment fails, we may retry the charge and/or suspend your access to subscription features until payment is successfully processed. We will notify you of any payment failures and provide a reasonable grace period before suspension.

8.5 Taxes. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your purchases.

9.1 Termination by You. You may terminate your account at any time by contacting us at support@autocrop.ai or through your account settings. Upon termination, any remaining unused credits in your account will be forfeited and are non-refundable, except as required by applicable law.

9.2 Termination by Us. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms, (b) violation of the Acceptable Use Policy, (c) fraudulent or illegal activity, (d) non-payment, or (e) extended inactivity. We will make reasonable efforts to provide notice before termination except in cases of egregious violations.

9.3 Effect of Termination. Upon termination, your right to access and use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy and applicable data retention requirements.

9.4 Data Export. Before terminating your account, you are responsible for downloading or exporting any data you wish to retain. Since the Service does not store processed images long-term, there may be no image data to export.

10.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10.2 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOCROP.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Liability Cap. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10.4 Essential Purpose. THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless AutoCrop.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property or privacy rights, (d) the content of images you upload or process through the Service, or (e) your use or distribution of AI-processed output in ways that violate applicable laws or third-party rights.

12.1 Informal Resolution. Before filing any formal claim, you agree to first contact us at support@autocrop.ai to attempt to resolve the dispute informally. We will endeavor to resolve disputes within thirty (30) days of receiving notice.

12.2 Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States, unless you and we agree otherwise. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver. YOU AND AUTOCROP.AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Claims for small claims court relief may also be brought in any court of competent jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date, and where feasible, by sending an email notification to the address associated with your account. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.

15.1 Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AutoCrop.ai regarding the Service.

15.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or failures of third-party services.
